The global law firm of Thompson & Knight has assisted the first real estate investment trust (“REIT”) to be listed on Mexico’s stock exchange. The trust, Fibra Uno, was launched on March 17, 2011, with an initial public offering that raised 3.62 billion pesos (US$300 million).
Fibra Uno sold 185.4 million certificates at 19.50 pesos (US$1.61) each. Additionally, certificates were issued to contributors of the real estate properties by means of a private placement, bringing the total value of the issuance to approximately 8.27 billion pesos (US$686 million). The securities were also placed in global markets in the U.S. and Europe under Rule 144A and Regulation S. The trust will use the proceeds from the global offering to acquire three properties, consolidating an initial portfolio of 16 properties, including both commercial and industrial real estate properties.
Guillermo Uribe led the Thompson & Knight team of attorneys working on the transaction, which included Adrián Gay, Jorge González, M. Cecilia Gutierrez-Sansano, Laura Martínez, and Cecilia Zaldivar.
