Davis Polk is advising EBX Group Ltd. with respect to U.S. matters on its approximately C$1.2 billion offer to acquire all of the outstanding publicly held shares of Ventana Gold Corp. Through its subsidiary 63X Master Fund, EBX currently holds 20% of Ventana’s common shares.
Based in Rio de Janeiro, Brazil, the EBX Group, owned by Eike Batista, develops and manages business activities in mining, logistics, oil and gas, real estate, energy, renewable resources and entertainment sectors. Ventana Gold is a Vancouver, Canada-based mineral exploration and development company with mineral rights to 4,590 hectares of exploration property in northeastern Colombia.
