International law firm Weil, Gotshal & Manges advised Scandi Standard, the largest chicken company in the Scandinavian Region, on its initial public offering (“IPO”) on the NASDAQ OMX Stockholm (the “Offering”). The IPO values Scandi Standard at up to SEK 2.4 billion ($361 million).
Scandi Standard is the largest producer of chicken-based food products in Sweden, Denmark and Norway. It produces, sells and markets chilled, frozen and processed chicken-based food products. Scandi Standard was created in June 2013 by UK private equity company Capvest and Swedish agricultural cooperative Lantmännen, which owned 52% and 46% respectively prior to the IPO.
The Offering comprises shares corresponding to approximately 65 per cent of the total number of shares in Scandi Standard and is valued at approximately SEK 1,562 million, assuming that the over-allotment option is exercised in full. All of the shares in the Offering were sold by existing shareholders to diversify the shareholder base of Scandi Standard.
Weil’s team was led by London-based US capital markets partner David Meredith, working with corporate partner Peter King. Roschier Advokatbyrå AB advised Scandi Standard and the principal owners as to Swedish law; and Advokatfirman Vinge advised the joint lead managers and joint bookrunners as to Swedish law. The securities offered have not been, and will not be, registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
