K&L Gates Advises on Sale of Scott’s Refrigerated Freightways for AUD115 Million

A team of lawyers from K&L Gates has advised the shareholders of Scott’s Refrigerated Freightways (SRF) (including JAT Refrigerated Road Services) in the sale of the business to Automotive Holding Group Limited (AHG), an ASX 200 listed company, for AUD115 million.

One of the Australia’s leading suppliers of refrigerated logistics, SRF provides refrigerated road and rail line haul, local refrigerated distribution, and cold store warehousing. Managing Director and major shareholder Bruce Scott and the existing SRF management team will continue to oversee the SRF business.

The K&L Gates team advising the shareholders of SRF was led by Sydney corporate partners Russell Lyons and Ted Nixey, with assistance from tax partner Betsy-Anne Howe and special counsel Benita Howell, along with employment partner Christa Lenard. Also assisting on the sale were insurance partner Greg Couston, special counsel Lucy Williams, and corporate lawyers Alison Wu, Sarah Bullock, and Marie Zuo.

Nixey stated: “Scott’s is now part of AHG, a diversified automotive retailing and logistics group with operations in every Australian mainland state and in New Zealand. AHG is listed on the Australian Stock Exchange and is Australia’s largest automotive retailer, with operations in Western Australia, New South Wales, Queensland, and Victoria.”

Nixey further commented: “We are very pleased to have acted for the Scott’s shareholders on this successful sale, which has resulted in the creation of one of the largest temperature controlled transport and logistics businesses in Australia.”
