Davis Polk is advising J.P. Morgan Securities LLC and Bank of America Merrill Lynch as dealer managers in connection with a cash tender offer by The Men’s Wearhouse, Inc. to acquire all outstanding shares of Jos. A. Bank Clothiers, Inc. for $57.50 per share. The offer is subject to conditions, including there being validly tendered and not withdrawn at least a majority of the total number of Jos. A. Bank shares outstanding on a fully diluted basis, Men’s Wearhouse and Jos. A. Bank entering into a definitive merger agreement with respect to the acquisition of Jos. A. Bank by Men’s Wearhouse, receipt of regulatory approvals and other customary closing conditions.
Davis Polk is also advising J.P. Morgan Securities LLC and Bank of America Merrill Lynch as financial advisers to Men’s Wearhouse in connection with its acquisition proposal for Jos. A. Bank.
Men’s Wearhouse is one of the largest specialty retailers of men’s suits and the largest provider of tuxedo rental products in the United States and Canada, with 1,133 stores. Jos. A. Bank is a nationwide designer, manufacturer, retailer and direct marketer of men’s tailored and casual clothing, with 602 retail stores.
