Attorneys with the Global Banking and Finance Practice Group at the Atlanta office of international law firm Greenberg Traurig represented Gentiva Health Services (NASDAQ: GTIV) in closing on an $925 million credit facility to fund Gentiva’s $408.8 million acquisition of Harden Healthcare Holdings. The transaction enables Gentiva, the nation’s largest provider of home health and hospice care, to expand its diverse national portfolio of healthcare businesses. The closing of the credit facility occurred on October 18, 2013.
The $408.8 million acquisition purchase price was comprised of $355 million in cash and $53.8 million in Gentiva common stock. The cash portion was funded via the $925 million credit facility, which Gentiva also used to refinance existing term loans.
As part of the merger agreement, Gentiva acquired Harden’s home health, hospice and community care businesses. Harden’s current shareholders retained the company’s long-term care business.
Greenberg Traurig shareholder Cindy J.K. Davis served as lead outside finance counsel for longtime client Gentiva and worked with a team that included Associates Jonathan G. Moore, Buddy A. Meyer and Brett E. Moskowitz.
