Paul Michael Spizzirri has joined the Atlanta office of Gordon & Rees as a partner. His multifaceted background includes private practice, business consulting, government, and academia. He has more than 20 years of experience as outside general counsel representing Fortune 500 and international companies in multibillion-dollar business transactions and tax/wealth management issues. Substantial portions of his practice concern tax, business, commercial, and securities litigation and transactions throughout Central America, Europe, Asia, and the United States.
Mr. Spizzirri is a member of Gordon & Rees’s Business Transactions; Tax, Wealth Management & Probate; International; Commercial Litigation; and Bankruptcy, Restructuring & Creditors’ Rights Practice Groups. He is skilled in handling mergers, acquisitions, divestitures, reorganizations, and post-acquisition integration processes for corporations, partnerships, and LLCs. He is experienced in major federal, state, and local tax planning for partnerships, S corporations and C corporations, including consolidated returns, basis studies, 382 studies, tax attribute strategies, and tax opinions. He has handled and supervised the preparation of thousands of commercial tax returns (Forms 1120, 1120S, 1065, 1040, and 1041), typically within the context of a federal or multistate examination.
His experience also includes drafting and reviewing transaction agreements; corporate records maintenance; employment and labor matters; health law; contracts; landlord-tenant matters; real and personal property transactions; shareholder relations; ownership changes; structured finance; Uniform Commercial Code (UCC) consulting; and banking law guidance to financial institutions.
Prior to joining Gordon & Rees, Mr. Spizzirri practiced at an Atlanta-based law firm, where he led the Corporate/Transactional and Taxation Practice Groups.
For more than 10 years, he has served as a senior faculty member for the Keller Graduate School of Management and taught more than 100 post-graduate business courses in advanced accounting, taxation, and business law. Previously, he worked at several top consulting firms and as a state government attorney drafting tax legislation and litigating tax and bankruptcy matters. He also was a property tax administrative law judge and a registered lobbyist.
Mr. Spizzirri earned his J.D. from the University of South Dakota School of Law and his LL.M. from DePaul University College of Law. He holds an M.A.F.M. from Keller Graduate School of Management, an M.B.A. from the University of South Dakota Beacom School of Business, and a B.B.A. from the University of Iowa, Henry B. Tippie College of Business.
