Mintz Continues Corporate Growth, Adding Prominent Capital Markets Attorney Andrew Thorpe

Mintz has strengthened its Capital Markets Practice with the addition of Member Andrew Thorpe to the firm’s Corporate Group. Mr. Thorpe started his legal career at the Division of Corporation Finance of the Securities and Exchange Commission (SEC), and has become a seasoned capital markets lawyer in private practice over the last two decades. Prior to joining Mintz, Mr. Thorpe practiced with Orrick, Herrington & Sutcliffe LLP in the Bay Area.

Mr. Thorpe’s practice focuses on securities regulation, public offerings, mergers and acquisitions and corporate governance matters. His diverse industry experience covers semiconductors, software, life sciences, medical devices, clean technology, financial services, cryptocurrency, telecommunications and the Internet. Mr. Thorpe has worked on more than 75 public offerings, serving as company or underwriter’s counsel, in addition to reviewing approximately 20 additional offerings while he was at the SEC.

Prior to entering private practice, Mr. Thorpe worked in the Division of Corporation Finance of the SEC, where he was responsible for reviewing public companies’ Securities Act and Exchange Act filings. From January 2001 to April 2005, he served as special counsel with the Office of Rulemaking within the Division of Corporation Finance. While in this position, Mr. Thorpe played a significant role in drafting many of the regulations emanating from the Division, including those mandated by the Sarbanes-Oxley Act of 2002, as well as Securities Act Reform.

Mr. Thorpe’s arrival continues the strong flow of new corporate Member additions, including Ed Pease, Larry Naughton, and Joshua Fox in Boston; Loretta Shaw-Lorello in New York; and Stephen Osborn, also in San Francisco.
