Leading Corporate Partners Join BakerHostetler in Atlanta

BakerHostetler is proud to announce the addition of two corporate partners to its Atlanta office. Partners David Brown and Clayton Coley will join BakerHostetler’s Business and Corporate Group effective May 7. They join from McKenna Long & Aldridge LLP, where Brown served as head of the firm’s Corporate Finance Group.

Brown’s practice focuses primarily on corporate and project finance, mergers and acquisitions, and corporate governance in a number of industries including financial services, healthcare, consumer goods, real estate, and technology. He advises clients on sophisticated financing, structuring, and lending matters. Brown also counsels public companies and institutional shareholders on SEC reporting and disclosure requirements, corporate governance issues, proxy contests, and other corporate and securities matters. He has represented clients in transactions with values of up to $13 billion.

Brown earned his J.D. and MBA from Georgia State University College of Law, cum laude, in 2000, and his B.A. from Emory University in 1995. During law school, Brown clerked for The Honorable P. Harris Hines of the Supreme Court of Georgia and interned with the Atlanta District Office of the Securities and Exchange Commission. He also served as the associate legislation editor of the Georgia State University Law Review. Prior to entering law school, Brown worked for a national investment firm as a supervisory review principal. He has earned recommendations by Chambers USA and The Legal 500, is a member of Georgia’s Legal Elite by Georgia Trend magazine, and was named a Super Lawyer by Atlanta Magazine.

Coley focuses on representing public and privately held companies in regulated industries, including financial services, healthcare, and technology. He has extensive experience in a variety of transactions, including representation of both strategic and financial buyers in merger and acquisition and venture capital transactions, and related aspects of federal and state securities laws, including SEC filings, and advises investors and early-stage companies seeking financing through private equity transactions. Coley also advises companies in venture capital, general corporate and operational matters, and on pre-merger notification filings with the Federal Trade Commission and Department of Justice.

Coley earned his J.D. from the University of Virginia School of Law in 2004, and his M.A. from the University of Texas at Austin in 2001. He earned his B.A., summa cum laude, from Queens College in 1997.
