Davis Polk advised Deutsche Bank Securities Inc. and J.P. Morgan Securities LLC as the underwriters in an SEC-registered public offering of 8,744,850 shares of common stock, par value $0.01 per share, of Webster Financial Corporation, sold by Warburg Pincus Private Equity X, L.P. and Warburg Pincus X Partners, L.P., as the selling stockholders. The net proceeds from the offering totaled approximately $196.8 million.

The several times oversubscribed offering involved the issuance of Ps. 6.5 billion (approximately $540 million) of 7.25% Peso-denominated Senior Notes due 2043, Payable in Mexican Pesos, pursuant to a registration statement filed with the SEC. In a decision announced on May 13, 2013, Orrick, Herrington & Sutcliffe LLP obtained for Nomura Credit & Capital, Inc. the complete dismissal with prejudice of a $259 million residential mortgage-backed securities (“RMBS”) putback lawsuit in New York Supreme Court. The Nomura case is one of the first among dozens of RMBS putback cases now pending in NY Supreme. This week’s decision is significant in part because it is the first such RMBS lawsuit dismissed with prejudice by a New York court on statute of limitations grounds.
