Simpson Thacher Represents Underwriters in $2.8 Billion Notes Offering by Altria Group, Inc.
The Firm recently represented the underwriters, led by Citigroup, Deutsche Bank and J.P. Morgan, in connection with a public offering by Altria Group, Inc. of $1.9 billion aggregate principal amount of its 2.850% Notes due 2022 and $900 million aggregate principal amount of its 4.250% Notes due 2042. The offering closed on August 9, 2012.

The consortium includes Mr. Jason Nanchun Jiang, Chairman of the Board and Chief Executive Officer of Focus Media, and his affiliates, FountainVest Partners, The Carlyle Group L.P., CITIC Capital Partners, CDH Investments and China Everbright Ltd. The consortium intends to finance the proposed transaction with a combination of debt and equity capital.

Morgan Lewis Advises Atyrau Refinery on $297.5 Million Financing Package with JBIC and Japanese Banks
The Japan Bank for International Cooperation (JBIC) recently signed a 297.5 million U.S. dollars buyer’s credit (export credit) with LLP Atyrau Refinery, a subsidiary of JSC NC “KazMunayGas”, the Republic of Kazakhstan state-owned oil and gas company. The loan is co-financed with the Bank of Tokyo-Mitsubishi UFJ, Ltd. (BTMU), with Nippon Export and Investment Insurance (NEXI) providing Buyer’s Credit Insurance for the portion co-financed by BTMU.
