Simpson Thacher Represents Underwriters in Offering of US$188 Million Principal Amount of Zero Coupon Convertible Bonds by Zhen Ding Technology Holding Limited

The Hong Kong office of the Firm represented the underwriters, led by Citibank Global Markets Limited, DBS Bank Limited, Merrill Lynch Far East Limited and Standard Chartered Bank, in the offering of US$188 million principal amount of Zero Coupon Convertible Bonds (the “Bonds”) by Zhen Ding Technology Holding Limited (“Zhen Ding”). Zhen Ding is a leading designer and manufacturer of printed circuit boards to leading brand name customers. The common shares of Zhen Ding are traded on the Taiwan Stock Exchange under the trading code “4958”. The Bonds are listed on the Singapore Stock Exchange.

Simpson Thacher Represents Blackstone in $770 Million Industrial Portfolio Acquisition

The Firm represented affiliates of Blackstone Real Estate Partners VII in connection with its $770 million purchase from DEXUS Property Group, an Australian public company, of a portfolio of 68 industrial assets in the United States. The 68 assets are comprised of more than 120 buildings in 10 states, totaling over 16.5 million square feet of rentable area. The transaction is the largest single industrial real estate portfolio sale in the United States in 2012.

Simpson Thacher Represents Lightyear Capital in its Acquisition of FIS’ Healthcare Benefit Solutions Business for $335 Million

The Firm is representing an affiliate investment fund of Lightyear Capital LLC in its announced acquisition of the Healthcare Benefit Solutions business of FIS™ for $335 million. Benefit Solutions is a leading financial technology company providing benefits administration software as a service, multi-purse debit cards and transaction processing solutions for consumer directed healthcare accounts. The transaction is expected to close by the end of the third quarter of 2012, subject to required regulatory approvals and customary closing conditions.

Clifford Chance Advises TAM S.A. on Its Combination with LAN Airlines

Leading international law firm Clifford Chance has advised TAM S.A. on its combination with LAN Airlines to form LATAM Airlines Group S.A. The deal, which closed on June 22, took more than a year-and-a-half to complete and required both Brazilian and Chilean regulatory approvals. The completed transaction results in the largest airline in South America with a fleet of 310 aircraft, and one of the largest airlines in the world by market value.
