Porter Hedges represented Cameron International Corporation (“Cameron”) in an agreement announced today to acquire the drilling equipment business of TTS Energy Division from TTS Group ASA (Oslo Stock Exchange) in an all cash transaction valued at $270 million. The deal is expected to close in mid-2012, subject to customary closing conditions, including review and approval by the Norwegian Competition Authorities (NCA).

Steptoe Expands International Department, Latin American Practice with the Addition of Brazilian Pablo Bentes from the WTO
Steptoe is pleased to announce that Pablo Bentes, a native of Brazil who most recently served six years as a legal officer in the Appellate Body Secretariat of the World Trade Organization (WTO) in Geneva, has joined the firm’s International Trade and International Regulatory Compliance practice groups as a director. Paul, Weiss advised Mitsui Sumitomo Life Insurance Co. Ltd (MSI) in its agreement to acquire 26 percent of Max New York Life Insurance Company, a leading Indian life insurance company, for Rs 27.3 billion (approximately $530 million). MSI will, subject to regulatory approval, be acquiring New York Life’s entire stake in the life insurer, which is majority-owned by Max India Limited, a company listed on the Bombay Stock Exchange. The agreement was signed on April 12.
