Simpson Thacher Represents the Initial Purchasers in Micron Technology, Inc.’s $690 Million Convertible Senior Notes Offering and the Dealers in $690 Million Capped Call Option Transactions

The Firm recently represented the initial purchasers, led by Morgan Stanley & Co. LLC and Lazard Capital Markets LLC, in connection with Micron Technology, Inc.’s offering of $345 million aggregate principal amount of 1.50% Convertible Senior Notes due 2031 and $345 million aggregate principal amount of 1.875% Convertible Senior Notes due 2031, which reflects the initial purchasers’ full exercise of their over-allotment options. The notes were offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended.

Dewey & LeBoeuf Represents Insight Venture Partners on Moonpig Acquisition

Dewey & LeBoeuf has advised private equity client Insight Venture Partners in its equity financing of Photoways Holdco Ltd, a vehicle owned by digital photo business PhotoBox, in connection with the acquisition by Photobox of Moonpig for £120 million (US$195 million). The cash component of the purchase price for the Moonpig acquisition consisted of equity financing from Insight, Greenspring Associates and Quilvest, as well as from certain existing shareholders of Photobox, and debt financing from UK lenders.

It was recently announced that effective July 22 Willkie client WEBER-HYDRAULIK, a leading international provider of customized hydraulic drive and control engineering solutions, acquired U.S.-based Hyco International Inc. from U.S. financial investor Centre Partners Management LLC. Hyco International Inc. is a global supplier of hydraulic cylinders with manufacturing locations in Canada, the United States, Brazil and Germany. With 600 employees and an annual turnover of approximately €100 million, HYCO’s products are used in forestry and construction machinery, refuse handling equipment, dump trucks, oil and gas field installations and cranes, as well as mining and agricultural equipment.
