Dechert Advises Kinross Gold Corporation on US$350m Acquisition of 25% Stake in Gold and Silver Mining Company in Russia
International law firm Dechert LLP’s Moscow team is representing Kinross Gold Corporation (“Kinross”) (TSX: K, NYSE: KGC) on its US$350 million acquisition of a 25% stake in Chukotka Mining and Geological Company (CMGC), the 100% owner of the Kupol gold and silver mine in the Chukotka Autonomous Okrug of the Far East Region of the Russian Federation. CMGC is currently owned 75% by Kinross and 25% by the State Unitary Enterprise of the Chukotsky Autonomous Okrug (Chukotsnab). The proposed acquisition – which signed on 4th April – would bring Kinross’s total stake in CMGC to 100%. The consideration is subject to adjustments equal to the amount of the attributable dividend payments. Kinross intends to finance the acquisition costs in part though a non-recourse debt facility of approximately US$200 million, on which Dechert is also advising Kinross.

The conclusion of this restructuring involved the rescheduling of approximately $2.5 billion of indebtedness, involving fourteen banks, the provision of five new money facilities for, in total, $426 million and the issue of warrants to purchase an aggregate of 15 million shares.

The portfolio of approximately 80 properties consists of residential and student properties primarily located in Gothenburg, Stockholm and Uppsala.

International plc and Nomura International plc were the joint lead managers and joint bookrunners. Approximately one-quarter of the shares in the offering were subscribed for by J. Christopher Flowers and investment vehicles advised by the investment firm J.C. Flowers & Co. LLC. The offering was conducted pursuant to Rule 144A and Regulation S.

Davis Polk is advising Taylor Wimpey plc (Taylor Wimpey) in connection with the sale of its U.S. and Canadian business to TMM Holdings Limited Partnership, a partnership controlled by certain investment funds affiliated with TPG Capital, certain investment funds affiliated with Oaktree Capital Management, L.P. and JH Investments Inc., and its subsidiaries for a base consideration of $955 million. Taylor Wimpey will also receive additional proceeds for cash balances in the North American business as at December 31, 2010 and net capital invested in its North American business from January 1, 2011 to closing.
