Maples and Calder has advised Terra Firma, a leading private equity firm, in relation to the acquisition of Four Seasons Health Care, the UK’s largest independent elderly and specialist care provider, for £825m. The acquisition was financed by a mixture of equity and new debt, with the debt arranged by Goldman Sachs and Barclays. The transaction completed on 12 July 2012. Maples and Calder acted as Cayman Islands counsel to Terra Firma and the Maples team was led by corporate partner, Jack Marriott in London and included corporate associate, Jess Stock. Slaughter and May (led by Jeff Twentyman) acted as lead counsel to Terra Firma except in respect of US financing issues, regarding which Cravath Swaine & Moore advised. |
