Simpson Thacher Represents Initial Purchasers in $600 Million Senior Notes Offering by Stena AB (publ) and $350 Million Senior Secured Notes Offering by Stena International S.A.

Simpson Thacher represented the initial purchasers, led by J.P. Morgan Securities LLC, in connection with a 144A/Regulation S offering by Stena AB (publ) (“Stena”) of $600 million aggregate principal amount of 7.00% Senior Notes due 2024. This offering closed on January 23, 2014.

In addition, Simpson Thacher represented the initial purchasers, led by Citigroup Global Markets Inc., in connection with a 144A/Regulation S offering by Stena International S.A. (“Stena International”) of $350 million aggregate principal amount of 5.75% Senior Secured Notes due 2024, guaranteed by Stena and certain of its subsidiaries. This offering closed on February 21, 2014.

The net proceeds from both offerings were used to refinance certain outstanding indebtedness.

Stena is one of the largest privately held companies in Sweden. A leading participant in the worldwide shipping industry, Stena owns and operates one of the world’s largest international passenger and freight ferry services and also owns, charters and operates drilling rigs, drillships, crude oil and petroleum product tankers, LNG carriers and roll-on/roll-off vessels. Stena International is a wholly-owned subsidiary of Stena.
