Davis Polk advised Citigroup Global Markets Inc. and Deutsche Bank Securities Inc. as underwriters in connection with the SEC-registered secondary offering of 5,984,232 shares of Class A common stock of Genesee & Wyoming Inc. by investment funds associated with The Carlyle Group. The net proceeds from the offering were approximately $580.7 million.

The Firm is representing Jostens, Inc. (“Jostens”) in connection with its announced acquisition of American Achievement Group Holding Corp. (“American Achievement”).  American Achievement is a premier provider of commemorative jewelry and recognition products such as class rings, yearbooks, letter jackets and other jewelry, including military and family products.  American Achievement’s products and brands include Balfour®, Taylor, ArtCarved® and Keepsake®.  The transaction, which is subject to customary closing conditions and regulatory review, is expected to close not later than the second quarter of 2014.

Cahill Represents Initial Purchasers in $500 Million Notes Offering by IAC/InterActiveCorp

Cahill represented the joint book-running managers and co-managers in connection with the Rule 144A offering of $500,000,000 aggregate principal amount of 4.875% Senior Notes due 2018 by IAC/InterActiveCorp, leading media and Internet company. Proceeds from the offering are to be used for general corporate purposes.

Thompson Hine New York Brings on Third Litigation Partner in Three Months

Thompson Hine LLP is pleased to announce that Tammy Bieber, a securities litigator, has joined its New York office as a partner in the Business Litigation practice, which the firm has identified as a growth area for the office. She previously was a partner at Shearman & Sterling LLP and spent time at the U.S. Securities and Exchange Commission, where she served as a senior legal adviser to the Chief Accountant. Bieber is the third partner to join the Business Litigation practice in New York in recent months; the firm recently hired Michael W. Jahnke, who focuses on antitrust litigation, and Maranda Fritz, who focuses on white-collar criminal matters.
