Pepper Hamilton Expands Corporate and Financial Services Practices in New York

Pepper Hamilton LLP announced that attorneys Andrew Hulsh and Todd R. Kornfeld have joined the firm’s New York office. Mr. Hulsh is a partner in the Corporate and Securities Practice Group and Mr. Kornfeld is of counsel in the Financial Services Practice Group.

James D. Rosener, managing partner of the firm’s New York office, said, “Andy is a seasoned private equity and M&A lawyer with significant international experience. Todd brings with him a breadth of experience in many areas that will greatly enhance our financial service practice. Both are welcome additions to the firm and our growing office.”

Mr. Hulsh focuses his practice on domestic and cross-border private equity-backed and strategic mergers, acquisitions and recapitalization transactions, including negotiated and unsolicited contests for corporate control; initial and secondary public offerings of equity, debt and hybrid securities; asset management matters, including private equity fund formation transactions and the acquisition of fund managers of complex domestic and offshore investment management platforms; general public company representation, including compliance with reporting and other obligations under U.S. securities laws; and venture capital investments. Prior to joining Pepper, Mr. Hulsh was a partner with Dechert LLP in New York. He is a graduate of Cornell University Law School (J.D., cum laude, 1985) and Boston University (B.S. 1982).

Mr. Kornfeld concentrates his practice in securities and derivatives law, particularly in representing investment advisers with respect to their trading activities and fund formation and regulatory matters arising under the Investment Advisers Act and the Commodity Exchange Act. As part of his investment management practice, he represents investment advisers and funds in the negotiation of trading agreements such as prime brokerage, ISDA master agreements, futures account agreements and master confirms for derivatives. Prior to joining Pepper, Mr. Kornfeld was associate general counsel at Guggenheim Global Trading, a multi-strategy hedge fund, where he was heavily involved in and responsible for multiple aspects of platform creation and build-out, including fund formation documents, prime brokerage and other trading agreements, and regulatory and compliance matters. He is a 1996 magna cum laude graduate of Boston University School of Law. Mr. Kornfeld earned an LL.M. in corporate law from New York University School of Law in 1998 and a B.S. in computer science from the State University of New York at Albany in 1990.
