Crown Castle’s $1 Billion Acquisition of Sunesys

On April 30, 2015, Crown Castle International Corp. (“Crown Castle”) announced that it has entered into a definitive agreement to acquire Quanta Fiber Networks Inc. (“Sunesys”) for approximately $1 billion in cash, subject to certain limited adjustments. Cravath represented Crown Castle in connection with this transaction, which is expected to close by the end of 2015, subject to customary closing conditions.

Sunesys, a wholly owned subsidiary of Quanta Services, Inc., is a fiber services provider that owns or has rights to nearly 10,000 miles of fiber in major metropolitan markets across the United States. Under the definitive agreement, Crown Castle will more than double its fiber footprint available for small cell deployment, enhancing its wireless infrastructure to accommodate significant growth in demand for mobile data.
