Morrison & Foerster Expands Fund Formation Practice in Hong Kong with Addition of Jason Nelms

Morrison & Foerster, a leading global law firm, today announced that fund formation lawyer Jason R. Nelms has joined the firm’s Hong Kong office as a partner in its Corporate Department. Mr. Nelms has more than 10 years of relevant experience in both Asia and the U.S., and joins Morrison & Foerster from Proskauer Rose in New York.

Mr. Nelms focuses on advising Asia-based and U.S. sponsors and investors in the structuring, formation, and offering of private investment funds, including private equity funds, real estate funds, hedge funds, co-investment vehicles, and other alternative investment products. He also advises fund sponsors regarding management company structuring, carried interest plans, shareholders’ agreements, and related internal governance matters, and has counseled investment firms and their principals in the purchase and sale of significant minority interests in asset management businesses.

Mr. Nelms’ recent notable transactions include representing Asian sovereign wealth funds in connection with multibillion-dollar private equity and hedge fund investments; the formation and offering of a $1 billion China focused private equity fund sponsored by a newly formed Hong Kong-based manager; the formation and offering of two real estate funds sponsored by a leading Singapore-based manager; the formation of emerging markets focused hedge funds sponsored by a leading U.S.-based sponsor with over $1 billion of assets under management; and the formation and offering of several venture capital funds managed by leading U.S.‐based venture capital fund managers.

Mr. Nelms received his law degree magna cum laude from Boston College Law School and his B.S. in accounting from Pennsylvania State University.
