Freshfields advises on US$408m Country Garden rights issue

International law firm Freshfields Bruckhaus Deringer has advised a consortium of underwriters on a rights issue and related finance facilities from Country Garden Holdings Company Limited. Country Garden is a Hong Kong listed company and one of the leading real estate developers in mainland China.

The rights issue, consisting of 1,271,988,736 shares at HK$2.50 each, closed on 13 October 2014 at an aggregate value of approximately US$408m.

Freshfields acted as underwriters’ counsel to Goldman Sachs and JP Morgan, as well as advising the two banks, in their capacities as lenders, on the US$400m bridging loan facility related to the transaction.

The Freshfields team was led by China Chairman Teresa Ko, with US corporate partner Ken Martin and senior associate Dickson Ng. The team advising on the bridge finance was led by counsel Daniel French.
