International law firm Eversheds has advised Jardine Motors Group UK Limited on its acquisition of car dealership the Wayside Group Limited, in a deal which will push its turnover above £1.2 billion.

International law firm McDermott Will & Emery LLP today announced that it successfully represented H.I.G Capital, L.L.C., a leading private equity investment firm, and its portfolio company, Surgery Partners, in the acquisition of NovaMed, Inc. (Nasdaq: NOVA) in a going private transaction. The deal, valued at $214 million, included the assumption of approximately $105 million of indebtedness.

Simmons & Simmons is advising energy supplier Argos Oil on its merger talks with energy supplier North Sea Group (NSG). If the talks are successful, this autumn will see the creation of the largest independent player on the North-West European market, with more than 850 employees, a combined tank storage capacity of over 1.5 million m3 and annual turnover of approximately €10 billion.

DLA Piper has advised the issuer Milan Station Holdings Limited (“Milan Station” HKSE: 01150) on its initial public offering (IPO) on the Main Board of the Hong Kong Stock Exchange. The transaction will combine DuPont’s activities focused on chemicals and biotechnology with Danisco’s food ingredient and industrial enzyme expertise and create an industry leader in industrial biosciences and nutrition and health.

Corporación Financiera as mandated lead arranger in connection with a $410 million ten-year term facility as well as a five-year revolving credit facility related to the acquisition by Actis Infrastructure 2 LP of a group of Guatemalan electricity distribution companies from Gas Natural.

Dewey & LeBoeuf represented Aviva plc on the £381 million sale of a 15% stake in its former Dutch subsidiary Delta Lloyd N.V. The transaction was structured as an accelerated book building through Morgan Stanley International and required shareholder approval from Aviva’s ordinary share and ADR holders.
